I am not sure how or why I wake up with over 100 steps and 300 calories? I am sleeping before midnight and do not think I am sleepwalking? 🙂

The calorie burn makes sense as you burn calories even while sleeping so you get credit for that. The amount of calories burned depends on your height, weight, fitness, etc. A lot of people of posted about the steps during the night. Some answers were sleeplesness (moving your arms a lot), reading in bed (again moving the arms), or getting up to use the restroom. I guess it depends on how many calories and steps you are getting to see if it is excessive. I woke up this morning with 45 steps and just over 300 calories as a comparison.

My charge sets to zero at midnight but is over 300 calories by 7:00 am and I'm NOT EVEN WEARING IT! Is it estimating how many calories I should be burning in my sleep??
Second question- one friend tracks her milage on her phone and another on her fitbit and they always log more distance than I do when we walk together. Why is that?

It's assigning the calorie burn that is keeping you alive 🙂 With regard to comparing steps with friends - you (or she) might need to adjust stride length.
